Who we are
This disclaimer applies to Breakline Ltd (“Breakline”, “we”, “us”, “our”), operator of breaklineagency.com, breaklineagency.co.uk and related subdomains. We provide search engine optimisation services including technical SEO, local SEO, eCommerce SEO, B2B SEO, content marketing, digital PR and link acquisition, plus reporting and insights via our SEO Dashboard.
Relationship with our Terms
If you are a client, our Terms of business govern your contract with us. This disclaimer sits alongside those terms. If there is any conflict, the Terms of business prevail. Nothing here limits rights that cannot be limited under applicable law.
1) No promise of specific outcomes
SEO, content and digital PR outcomes depend on many variables outside our control, including search engine algorithms, indexing behaviour, manual actions, competitor activity, market shifts, publisher decisions and changes to third‑party platforms. We do not promise, warrant or guarantee any particular ranking, traffic, conversion, revenue, media placement or timeframe. Any statements about results are goals only. Past performance, case studies or testimonials are not a guarantee of future results.
2) Third‑party platforms, tools & publishers
Our work often relies on third parties such as search engines, analytics suites, content management systems, hosting providers, email tools, PR databases and publishers. Access, performance, policies and pricing for those third parties can change without notice. We are not responsible for outages, reporting discrepancies, data loss, API changes, rejected submissions, editorial amendments, no‑shows, publication delays or removals, nor for links that are later edited, rel‑attributed, redirected, deindexed or taken offline. We do not control and are not responsible for third‑party content or websites we reference or link to.
3) Link acquisition & digital PR
We pursue ethical, editorially‑deserved links and coverage. Publication, anchor text, placement, tone and timing are always at the publisher’s discretion. We do not buy links or participate in schemes designed to manipulate rankings. We cannot guarantee that any link will be followable, permanent or indexed, or that a publication will accept or retain a pitch, quote or article. You acknowledge the risk that publishers change or remove content and links.
4) Content marketing & compliance
Content we produce is provided for general information and marketing purposes. It is not legal, financial, medical or other regulated advice. You are responsible for reviewing and approving content for accuracy, claims substantiation and compliance with laws, regulations and industry rules in your jurisdictions, including advertising standards and consumer protection. If you operate in a regulated sector, you must ensure appropriate compliance and sign‑off before publication.
5) Your dependencies & implementation
Results depend on your timely approvals, the quality and completeness of information you provide, granting us required access, and implementing technical or content recommendations on your systems. We are not responsible for delays, under‑performance or loss caused by your failure to provide access, materials or approvals, or by development constraints, change freezes or conflicting vendor activity.
6) Analytics, reporting & the SEO Dashboard
Data in dashboards and reports may come from third‑party sources such as Google Analytics and Google Search Console, which use sampling, modelling and filters. Numbers can differ from other tools, change retrospectively or be delayed. Our dashboard and any exports are provided “as is” for directional insight, not as definitive accounting records. We are not liable for reliance on incomplete, delayed or inaccurate third‑party data.
7) No professional advice
Nothing on our sites, dashboards, documents or communications constitutes legal, tax, financial, medical or other professional advice. You should obtain advice from suitably qualified professionals for those matters.
8) Testimonials, reviews & case studies
Testimonials, reviews and case studies reflect the experiences of specific clients at specific times with specific budgets, markets and constraints. They are illustrative only and are not typical or predictive. Independent review sites or directories are third‑party platforms for which we are not responsible.
9) Intellectual property & client materials
You warrant that you have all rights in any content, trademarks, images, product claims, data and other materials you supply to us. You grant us a non‑exclusive licence to use those materials to deliver the services. We are not responsible for infringement claims arising from client‑supplied materials or instructions.
10) Security, availability & viruses
We do not guarantee that our websites, dashboards, emails or files will be secure or free from bugs or viruses, or that services will be uninterrupted or error‑free. You should use your own virus protection and security controls. We are not responsible for harm caused by distributed denial‑of‑service attacks, malware, unauthorised access, transmission failures or other harmful events.
11) Forward‑looking statements
Any forward‑looking statements, projections or forecasts are by nature uncertain and based on assumptions that may change. Actual outcomes may differ materially.
12) Limitation of liability (website use & non‑contracted users)
To the maximum extent permitted by applicable law, we exclude all implied warranties and conditions relating to our sites, free resources and non‑contracted interactions. We will not be liable for loss of profits, revenue, business, goodwill, data, anticipated savings, or for indirect or consequential loss. Nothing in this disclaimer excludes liability that cannot be excluded under applicable law, including for fraud or personal injury caused by negligence.
Clients under contract: where you have a signed agreement with us, the liability limits and remedies in that agreement apply and take precedence over this disclaimer.
13) Indemnity
You agree to defend, indemnify and hold Breakline, its directors and staff harmless from and against claims, liabilities, damages, losses and costs (including reasonable legal fees) arising out of or in connection with: (a) content, data or materials you supply, (b) your breach of this disclaimer or our Terms of business, or (c) your misuse of our sites, dashboards or services.
14) International use
Our audience is global. You are responsible for ensuring your use of our sites and services complies with the laws that apply to you. Where mandatory local laws grant you non‑waivable rights, those rights are not affected.
15) Changes
We may update this disclaimer from time to time. Changes will apply from the date posted on this page. Continued use of our sites or services after an update constitutes acceptance of the revised terms.
