Referral Program — Terms and Conditions

  1. Program operator

    The Breakline Referral Program (“Program”) is offered by Breakline Ltd, company registered in England & Wales No. 11298365, registered office: Austen House, Units A–J, Station View, Guildford, Surrey, GU1 4AR, VAT: GB 341166328. 

  2. Eligibility and approval

    a) Open to individuals and businesses.

    b) Participation requires application and approval by Breakline. Approval or rejection is at Breakline’s sole discretion.

  3. Referral tracking

    a) Approved affiliates receive a unique referral link.

    b) The Program uses a 30‑day cookie. If a prospect becomes a paying client within 30 days of first clicking your referral link, that client is attributed to you.

    c) If cookies are deleted, blocked, or otherwise unavailable, attribution may not occur.

  4. Commission

    a) Rate: 10% of the referred client’s pre‑VAT spend.

    b) Scope: Commission is earned on all purchases made by the referred client for as long as they remain a Breakline client (“lifetime” for that client).

    c) Eligible products: all publicly listed plans on Breakline’s website, including Comprehensive SEO (Launch, Momentum, Scale), Link Building (Essential, Advanced, Ultimate), Local SEO (Starter, Professional, Enterprise), and Technical SEO (Light, Medium, Premium). 

    d) Basis: Commission is calculated on pre‑VAT amounts only. Discounts, credits, taxes (including VAT), chargebacks, and refunded amounts are excluded.

  5. Payouts

    a) Commissions are payable only on valid, cleared, and non‑refunded transactions.

    b) Payment method, currency, and any minimum payout threshold will be communicated upon approval.

    c) Breakline may withhold or reverse commissions for cancellations, refunds, chargebacks, or suspected abuse.

  6. Prohibited conduct

    You must not engage in any deceptive, misleading, or unlawful practices, including but not limited to: spamming; false claims about Breakline; cookie stuffing or forced clicks; self‑referrals; impersonating Breakline; or infringing third‑party rights.

  7. Program suspension and termination

    Breakline may suspend or terminate your participation, and/or withhold or cancel unpaid commissions, at any time, for any reason, without prior notice.

  8. Program changes

    Breakline may modify the Program or these Terms and Conditions at any time. Changes take effect upon posting to the Program page or upon notice.

  9. Relationship of parties

    Participation does not create any employment, agency, partnership, or joint venture relationship. You act as an independent contractor.

  10. Limitation of liability

    To the maximum extent permitted by law, Breakline will not be liable for indirect, incidental, special, consequential, or exemplary damages arising from the Program.

  11. Governing law

    Unless otherwise stated in a signed agreement, these Terms and Conditions are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
